Cut contract review time by 64% with AI-assisted redlining across 2,400 matters
An AmLaw 100 firm's associates were spending thirty-eight per cent of billable hours on low-value contract markup, with inconsistent risk positions across 2,400 active matters. A retrieval-augmented clause library with human-in-the-loop AI redlining cut review time by sixty-four per cent and recovered eleven thousand associate hours in year one.
The partners' commercial concern was explicit and well-argued. Associate time logged against contract review and redlining — across transactional, employment, and commercial litigation practices — was running at thirty-eight per cent of total billable hours. That work was recovered at standard rates, but the firm's alternative fee arrangements with several of its largest clients meant that a significant portion of those hours were effectively fixed-cost. More corrosively, the partners had no systematic view of whether the redline positions taken across those hours were consistent with firm precedent, with prior positions taken with the same client, or even with positions taken by other partners in the same practice group. A post-engagement review of one hundred recent contracts uncovered seventeen cases where the firm had taken materially different positions on the same clause for the same client within the previous eighteen months.
We approached the engagement from the retrieval-augmentation direction rather than from the generative AI direction. The firm had a significant historical archive — roughly fourteen years of closed matter documents indexed in iManage — and our assessment was that the principal opportunity was not to generate new legal language, but to make the firm's own existing language searchable, applicable, and context-aware at the moment an associate sat down to redline a new agreement. We built a retrieval layer against the historical corpus using a clause-level embedding index, with metadata filtering by practice area, client, counterparty archetype, and matter type. An associate reviewing a non-compete clause in an employment agreement for a financial services client could, in under two seconds, surface every previous version of a non-compete the firm had negotiated for financial services clients — with the redlines, the final language, and the partner who had approved the position.
The AI-assisted redlining layer was deliberately conservative in its design. Rather than generating a full redlined document, the system proposed clause-level edits with three attributes: the proposed edit, the retrieved precedent or firm position that supported the edit, and a confidence score calibrated against historical partner acceptance of similar proposals. The associate retained full editorial control; nothing was applied without their explicit acceptance. The user interface was built directly inside the firm's existing Word document workflow as an add-in, because the partners were unambiguous that any solution requiring a workflow change would fail. The add-in communicated with a secure backend that was deployed in the firm's own Azure tenant with no data leaving the firm's compliance boundary — a design decision that simplified the eventual information-governance review significantly.
The human-in-the-loop architecture was the critical piece that determined whether the firm could use the system in production. Every proposed edit was logged with its disposition — accepted, accepted-with-modification, or rejected — and those dispositions were used to continuously recalibrate the confidence scoring model. After three months of use across a controlled group of fifteen associates, acceptance rates on high-confidence proposals exceeded ninety-four per cent, and the associates reported that even the rejected proposals were useful because they surfaced firm precedents that had informed their own revised drafting. The system was extended to the full associate cohort in month six of the engagement.
Matter management integration was the final piece. The system wrote a structured record of each AI-assisted session back to iManage, including the precedent retrieved, the proposals made, and the final approved language. This created, for the first time, a queryable record of the firm's negotiating positions at the clause level — an asset that the partners have since used for cross-client portfolio reviews and for their own lateral recruiting conversations.
The measured outcomes were what the partners had hoped for and some they had not anticipated. Contract review cycle time fell by sixty-four per cent on the matter types to which the system had been deployed. Cross-matter precedent consistency — measured as the clause-level variance in positions taken for the same client — improved by a factor of fourteen. Eleven thousand two hundred associate hours were recovered in the first year of production use, redirected by the partners into higher-value advisory work that the firm had historically had capacity constraints around. Two of the firm's largest clients have since renegotiated their alternative fee arrangements to reflect the new cost structure, and the firm has made its retrieval system a central element of its next-generation marketing to in-house legal teams.
